The contractor will provide the Deloitte project team with the opportunity to negotiate a broad variety of trading and regulatory documentation. You will play a role in supporting trading activities by ensuring robust, accurate, and timely documentation, directly impacting the success of our client relationships and business operations.


Key Responsibilities:

  • Provide the end-to-end documentation process: drafting, reviewing, negotiating, executing, and filing CDEA, ISDA/CSA, and related regulatory initial margin documents.
  • Negotiate the full suite of Reg IM documentation, including bilaterals, Account Control Agreements (ACAs), and Eligible Collateral Schedules (ECS).
  • Develop and execute negotiation strategies, balancing client and firm needs, often outside of established playbooks.
  • Independently lead complex and/or sensitive negotiations for high-profile clients, including top banks and major funds.
  • Advise on and negotiate commodity transaction documents (e.g., power and gas annexes, EFETs, NAESBs, Power Purchase and Sale Agreements).
  • Review legal opinions on netting and collateral enforceability, liaising with external counsel as needed.
  • Respond to queries from various departments, including the front office, regarding master documentation.
  • Identify and implement improvements to documentation processes and controls, leveraging your experience to manage risk and enhance team effectiveness.
  • Build and nurture relationships across the firm to drive consensus and execute initiatives.


Qualifications:

  • Bachelor’s degree or equivalent, or JD, with a minimum of three years’ experience in a legal/trading documentation role (including within Credit, Risk, or Treasury functions) or as an attorney/paralegal in a law firm.
  • Strong experience negotiating Reg IM documentation (bilaterals, ACAs, ECS). If Reg IM experience is limited, must have at least 8–10 years’ experience negotiating new ISDA Master Agreements and VM CSAs with top banks or high-profile funds.
  • Solid knowledge of UMR (Uncleared Margin Rules) Phase 6 and/or 7 and hands-on experience with Initial Margin documentation.
  • Experience with repurchase, securities lending, or prime services documentation is a plus.
  • Knowledge of various legal entities, including funds, insurance companies, and pensions.
  • Excellent organizational, prioritization, and attention-to-detail skills, especially under pressure.
  • Proven ability to negotiate and review complex legal documents with accuracy.
  • Strong interpersonal and communication skills.
  • Commercial acumen and keen interest in derivatives, commodities, repo, securities lending, and/or prime brokerage products and services.
  • Proficiency in IT and adaptability to various databases/systems.
  • Additional language skills (French, German, Italian, or Spanish) are a plus.




The expected pay range for this contract assignment is $75 - $80 per hour.  The exact pay rate will vary based on skills, experience, and location and will be determined by the third-party whose employees provide services to Deloitte.
